Zopi Fulfillment service connects you with trusted suppliers and automates the order placement process.
1. Your Responsibilities
As a Zopi user, you are responsible for the products and services you source, purchase, and resell through our platform. Zopi acts as a sales agent between you (the merchant) and the suppliers, facilitating transactions and providing essential support services. However, Zopi does not assume responsibility for any products or their compliance requirements. This includes product clearance, tax payments, or intellectual property matters related to the products you sell.
To ensure clarity for all parties involved, you must provide accurate business information, including:
– Public-facing contact details
– Return policies
– Order fulfillment timelines
All sales contracts created through Zopi are direct agreements between you and your suppliers. You are the buyer of record for all items purchased through Zopi’s services and are responsible for the lawful use of these products, including compliance with local, national, and international laws regarding product import, consumer protection, and regulatory compliance.
Additionally, you must ensure that the products and services you acquire meet any quality, safety, or legal standards required in your operating regions. Conduct your own due diligence regarding product specifications, costs, taxes, and any relevant restrictions or requirements.
2. Payment of Fees and Taxes
Zopi requires a valid payment method on file to facilitate transactions with suppliers. Payments will be processed based on the agreed-upon billing cycle or transaction volume. By using Zopi, you authorize us to process payments between you and the suppliers. If payment issues arise, Zopi may attempt additional charges using your authorized payment methods or may suspend services until outstanding amounts are resolved.
All payments to Zopi are non-refundable, and you are responsible for any applicable taxes or fees related to your transactions and operations. While Zopi facilitates the transfer of funds, you must ensure compliance with any required tax reporting or self-remittance to your jurisdiction’s authorities. Zopi does not manage or provide refunds for your end-customers, as we are not the seller of record for any goods or services.
Zopi may adjust fees and commission rates with prior notice. Continued use of the services after such changes constitutes acceptance of the new terms. All fees are exclusive of applicable taxes unless stated otherwise.
For orders to Brazil, please note that according to local regulations (DDU mode), buyers are required to pay additional customs fees upon receipt, calculated as: order amount * 30% * 30%.
3. Intellectual Property and Your Materials
Zopi retains full ownership of its platform’s trademarks, branding, software, and other intellectual property assets. Using Zopi does not grant you any rights to this intellectual property except as explicitly outlined in these terms.
3.1 Your Materials
You retain ownership of any content or materials you upload to Zopi, and Zopi does not claim ownership of these materials. By submitting content on our platform, you grant Zopi a non-exclusive, royalty-free, worldwide license to use, display, and distribute your materials as necessary to operate and improve the platform. This license remains in effect as long as your materials are accessible on the platform. You are responsible for ensuring you have the right to grant these permissions and that your content does not infringe third-party rights.
You agree that Zopi may use your business name, logos, and trademarks associated with your store for purposes related to promoting and operating the platform. This license continues only as needed to fulfill obligations related to actions taken during your term of service.
3.2 Zopi Intellectual Property
You may not use Zopi’s trademarks, logos, or branding without prior written authorization. Zopi’s intellectual property rights are protected, and you agree not to use, register, or adopt any terms or identifiers similar to Zopi’s trademarks or branding. This agreement does not grant you any rights to Zopi’s proprietary technology or patents.
4. Protection of Merchant Interests and Supplier Accountability
Zopi is committed to supporting merchants by ensuring suppliers meet their obligations regarding the quality and fulfillment of orders. If an issue arises with an order—during processing, packaging, or in response to a buyer’s complaint—Zopi will require the supplier to issue a full refund to the merchant for the affected transaction. Zopi mediates disputes to ensure fair resolution and protect the merchant’s interests.
In the event of supplier-related failures or disputes, Zopi will take reasonable steps to facilitate a satisfactory resolution for merchants, including arranging refunds or replacements where necessary. While Zopi acts as a sales intermediary and is not responsible for product fulfillment or compliance, we enforce supplier accountability to ensure merchants receive fair and equitable support for any issues that may arise.
